Support Addendum

Licensor: IT Consulting Marian Zeis (“Licensor”)
This Support Addendum (“Addendum”) is incorporated by reference into the SpreadsheetImporter Commercial Licence (“Licence”) only if Licensee has purchased one of the Support Plans defined below. Capitalised terms have the meaning set out in the Licence.

1 · Support Plans

* All times are measured Monday-Friday, 08:00–18:00 Central European Time, excluding German public holidays.
** Enterprise SLA response window applies 7 days × 24 h within the defined business hours.

2 · Scope of Support Services

  • Assistance with installation, configuration and usage of the SpreadsheetImporter Software.
  • Troubleshooting runtime errors and unexpected behaviour.
  • Bug-fix guidance and hot-fix builds at Licensor’s discretion.

3 · Exclusions

Support Services do not include:

  • On-site services or remote desktop sessions longer than 30 minutes.
  • Custom feature development or modifications of the source code.
  • Issues caused by changes to the Software not made or approved by Licensor.

4 · Term & Renewal

The chosen Support Plan commences on the invoice date and runs concurrently with the Software licence term. It renews automatically unless cancelled at least 30 days before the next renewal date.

5 · Fees

Support fees are invoiced and payable annually in advance as shown on the corresponding invoice. Failure to pay the Support fee when due suspends the Support Services until full payment is received.

6 · Limitation of Liability

The Limitation-of-Liability clause in the Commercial Licence applies equally to this Addendum. Under no circumstances shall Licensor’s aggregate liability arising out of this Addendum exceed the Support fees paid by Licensee in the preceding twelve (12) months.

7 · Governing Law

This Addendum is governed by the laws of the Federal Republic of Germany. Exclusive venue for disputes is the competent court in Munich, Germany.
